governing documents form 990, part vi line 4 the board bylaws were amended in december of 2013 to reflect current governance best practice. most changes were not significant. significant changes include: changing the minimum number of board members from 24 to 25; specifying that the majority of board members must be independent; specifying a mechanism for removal of board members; changing the scope of authority granted to the audit committee, and requiring that committee to adopt a charter approved by the board; and specifying that the board must have a conflict of interest policy.
