The two organizations have identical members of the Board of Directors, and all of the employees of Friends of Happy Workers became the employees of Happy Workers Learning Center. The transfer of assets and liabilites from Friends of Happy Workers to Happy Workers Learninbg Center is in process, with the property, plant and equipment (net book value of $206,526) having been legally transferred during 2011. At this point, it is expected that substantially all of the rest of the assets and liabilities will be transferred in 2012.
