Form 990 Part VI Section A Line 10 The Form 990 is reviewed by the Executive Director and members of the Executive cCommittee of the Board of Directors prior to signing and filing with the Internal Revenue Service Form 990 Part VI Section B Line 12C Annually, the conflict of interest policy is distributed and explained to all Board members. Prior to each vote, Board members are asked to disclose conflicts of interest. For each conflict disclosed to the Board President, the President will determine wether to A take no action B assure full disclosure to the Board of Directors and other individuals covered by this policy C as the person to recuse themselves from participation in related discussions or decisions within the Organization or ask the person to resign from his or her position in the Organization, or if the person refuses to resign, become subject to possible removal in accordance with the Organizations removal procedures. The Organizations Executive Director and Office Manager will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the President of the Board of Directors. Form 990 Part VI Section B Line 15 The Executive Committee performs a yearly evaluation of the Executive Director and if the Agencys financial condition allows makes recommendations for salary increases based on amounts paid to Executives of similar organizations. The Executive Committees decisions are documented in minutes that are kept on file. The Executive Director evaluates all other employees and makes recommendations to the Board regarding salary and compensation based on comparable positions in similar organizations.
