The Committee is empowered to take corrective action as necessary, including refraining from participation in certain Board discussions. An Executive Committee is responsible for overall compensation, the organizations philosopy and establishes the guidelines, rules and procedures necessary for the proper and efficient administration of the Executive Compensation Program which covers the CEO, CFO, Vice Presidents of the parent and Executive Director of Fayette Home Care. This committee is independent from management and includes a comparison of pay rates with peer institutions. These Committee meetings are documented in meeting minutes. August 24, 2009 is the last time executive compensation was reviewed by the Committee.
