timely file eos form 990. at this time, the longtime cpa for eo also retired, and eos secretary-treasurer position became a volunteer position. to ensure compliance, eo hired a third-party management company to create and maintain bookkeeping records for the remainder of 2019 and to prepare 2019 form 990; upon making the hire, eo transferred to the management company the bookkeeping records and other information necessary to complete its tasks.However, the covid-19 pandemic began in early 2020, and on march 13, 2020, covid-19 was declared a nationwide emergency pursuant to sec. 501(b) of the stafford act. due to the covid-19 pandemic, operations of the management company hired by eo were severely disrupted, including office restrictions, reductions in staff hours, and layoffs. although eos form 990 was due on july 15, 2020, eo did not receive any notice, either on or prior to the due date, from the management company that form 990 had not been prepared, nor did eo receive any notice that the management company had not filed an extension of time to file form 990. eo learned only in late october 2020, upon the former secretary-treasurers request for a copy of 2019 form 990, that the management company had neither prepared form 990 nor filed an extension of time to file form 990. furthermore, the management company had not adequately kept eos books from the time it had been hired to do so in the fall of 2019. in response to its discovery of noncompliance in late october 2020, eo enlisted the help of the past president and former secretary-treasurer to spearhead hiring a new preparer for its 2019 form 990. from that time through november 04, 2020, the past president consulted with multiple tax professionals to secure assistance in filing form 990, and on november 04, 2020, the past president arrived at a recommendation to present to eos executive committee. the past president presented the recommendation to the executive committee at a meeting held on november 06, 2020, and the executive committee approved the recommendation. on the next business day, november 09, 2020, the eo retained the selected tax professional to prepare the form 990, and eo requested the 2019 books and records from the management company. on november 11 and 12, 2020, incomplete bookkeeping records were provided by the management company to eo and the tax professional. the past president and former secretary-treasurer immediately responded by providing additional information to the tax professional. the tax professional completed the bookkeeping records, prepared 2019 form 990, and presented form 990 to eo for review and approval on november 13, 2020. to prevent any future noncompliance, eo has designated the past president and former secretary-treasurer to draft new
